Terms of Service for Nordlys Stream Studio

1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") govern the use of services provided by Nordlys Stream Studio, with registered business address at Torggata 12, 0181 Oslo, Norway, email [email protected], and phone +47 23 96 48 17 ("Nordlys Stream Studio", "we", "us", or "our").
By requesting, booking, purchasing, accessing, or otherwise using any service provided by Nordlys Stream Studio, the client, customer, or other user ("you" or "Client") agrees to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms apply to all services offered by Nordlys Stream Studio in its capacity as a stream-studio business, including all related communications, deliverables, and support.
2. Scope of Services
Nordlys Stream Studio provides professional audiovisual and streaming services, including but not limited to:

- Streamingoppsett for bedrifter og organisasjoner
- Lyd- og lysproduksjon til studio og arrangementer
- Teknisk regi og sendingsovervåking
- Skreddersydd grafikk og tittelløsninger for stream
The exact scope, deliverables, timeline, technical requirements, and pricing for each engagement may be set out in a separate quotation, order confirmation, statement of work, service agreement, or email confirmation. In the event of any conflict, a signed written agreement or specific service order shall prevail over these Terms to the extent of the conflict.
We may refuse, suspend, or limit services where technical, legal, safety, scheduling, or operational constraints make performance impractical or inappropriate.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and timely information necessary for service delivery.
- Ensure that all venues, equipment access, internet connectivity, power supply, and permissions required for the service are available and suitable.
- Obtain all necessary consents, releases, licenses, permits, and approvals for filming, recording, streaming, and distribution of content.
- Ensure that any content, materials, logos, music, images, video, text, or other assets supplied by you do not infringe third-party rights or violate applicable law.
- Cooperate with our staff, contractors, and technical personnel in a professional and timely manner.
- Not interfere with, damage, misuse, or attempt to access our equipment, systems, software, or networks without authorization.
- Comply with venue rules, safety instructions, and any reasonable operational requirements communicated by Nordlys Stream Studio.
You are solely responsible for the legality, accuracy, and appropriateness of the content you request us to produce, stream, record, or publish, including any live interactions, audience participation, or third-party content.
Where you provide guest speakers, presenters, performers, or participants, you are responsible for ensuring that they are informed of and agree to any recording or streaming activities.
4. Payment Terms and Conditions
Prices are typically quoted in Norwegian kroner (NOK) unless otherwise stated. All prices are exclusive of VAT unless expressly indicated. Any applicable taxes, fees, travel costs, accommodation costs, equipment rental costs, overtime charges, and third-party expenses may be added where relevant and agreed.
- Invoices are payable within the period stated on the invoice or quotation.
- We may require advance payment, a deposit, or partial milestone payments before commencing work.
- Late payments may result in suspension of services, withholding of deliverables, and/or statutory interest and collection costs where permitted.
- Any additional work requested beyond the agreed scope may be charged separately at our then-current rates or as otherwise agreed in writing.
- Travel time, setup time, teardown time, rehearsal time, and standby time may be billable if specified in the quotation or service agreement.
If a booking is confirmed and later changed by the Client, any resulting additional costs, including rebooking, rescheduling, or supplier charges, may be invoiced to the Client.
5. Cancellation and Refund Policy
Cancellations must be made in writing and are effective only when received by Nordlys Stream Studio. The following cancellation terms apply unless a separate written agreement states otherwise:
- If cancelled more than 14 days before the scheduled service date, any deposit may be partially refundable at our discretion, less any non-recoverable costs already incurred.
- If cancelled 7 to 14 days before the scheduled service date, the Client may be charged up to 50% of the agreed service fee, plus any non-recoverable costs.
- If cancelled less than 7 days before the scheduled service date, the Client may be charged up to 100% of the agreed service fee, plus any non-recoverable costs.
- For live events, webinars, conferences, and time-sensitive productions, refunds are generally not available once preparation, setup, or delivery has commenced.
Refunds, if any, are limited to amounts actually paid for the cancelled portion of services and do not include consequential losses, anticipated profits, or indirect damages. Any approved refund will be processed using the original payment method where reasonably possible.
If we must cancel due to technical, safety, legal, or force majeure reasons, we may, at our discretion, offer rescheduling, a partial refund, or credit for future services, subject to our actual costs and obligations.
6. Liability Limitations
To the maximum extent permitted by applicable law, Nordlys Stream Studio shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of revenue, loss of data, reputational harm, business interruption, or loss of opportunity.
Our total aggregate liability arising out of or in connection with any service, whether in contract, tort, negligence, strict liability, or otherwise, shall be limited to the total amount paid by the Client to Nordlys Stream Studio for the specific service giving rise to the claim.
We are not responsible for failures caused by:
- Internet outages, bandwidth limitations, platform failures, or third-party streaming service disruptions;
- Power failures, venue issues, or environmental conditions;
- Defective or incompatible equipment supplied by the Client or third parties;
- Incorrect information, late approvals, or lack of cooperation from the Client;
- Force majeure events or events beyond our reasonable control.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by mandatory law.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, tools, workflows, templates, software configurations, technical know-how, and production methods used by Nordlys Stream Studio remain our exclusive property or that of our licensors.
Upon full payment, the Client receives a non-exclusive, non-transferable license to use the final deliverables for the purpose agreed in the relevant service agreement or quotation. This license does not include underlying project files, raw footage, editable source files, graphics templates, or proprietary technical setups unless expressly stated in writing.
The Client warrants that any materials supplied to Nordlys Stream Studio are owned by the Client or properly licensed for the intended use. The Client grants Nordlys Stream Studio a limited license to use such materials solely for performing the services.
We may, unless otherwise agreed in writing, use non-confidential excerpts, stills, or descriptions of completed work in our portfolio, showreels, website, and marketing materials, provided this does not violate confidentiality obligations or applicable law.
8. Data Protection and Privacy
Nordlys Stream Studio processes personal data in connection with service delivery, administration, communication, billing, technical support, and compliance obligations. We will handle personal data in accordance with applicable data protection requirements and our privacy practices.
Depending on the service, we may process names, contact details, billing information, event attendee data, audiovisual recordings, chat logs, and technical metadata. Where we act as a processor on behalf of the Client, the Client remains responsible for ensuring a lawful basis for processing and for providing any required notices or consents.
- We process personal data only to the extent necessary for the relevant purpose.
- We implement reasonable technical and organizational measures to protect personal data.
- We may use trusted service providers to support hosting, communications, invoicing, or production workflows.
- We retain data only as long as necessary for the purposes described or as required by law.
If a separate data processing agreement is required for a particular engagement, the parties shall enter into such agreement before processing begins. In the event of conflict, the data processing agreement shall prevail for the processing activities it covers.
9. Force Majeure
Nordlys Stream Studio shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to natural disasters, fire, flood, war, terrorism, civil unrest, strikes, labor disputes, epidemics, governmental actions, power outages, telecommunications failures, internet outages, equipment shortages, or failures of third-party platforms or suppliers.
If a force majeure event occurs, we may suspend performance for the duration of the event and, where reasonably possible, seek alternative arrangements or rescheduling. If the event continues for an extended period, either party may terminate the affected service by written notice, subject to payment for work already performed and costs already incurred.
10. Changes to Terms
Nordlys Stream Studio may update or modify these Terms from time to time. The updated Terms will take effect upon publication or on a later date specified by us.
For ongoing services, the version of the Terms in effect at the time of booking or contract formation will apply unless the Client agrees to the updated version. Continued use of our services after notice of changes may constitute acceptance of the revised Terms where permitted by law.
11. Applicable Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of Norway.
The parties shall first attempt to resolve disputes amicably through good-faith negotiations. If a dispute cannot be resolved amicably, it shall be submitted to the competent courts of Norway, with Oslo as the agreed venue, unless mandatory law requires otherwise.

13. Severability Clause
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent authority, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
If any invalid or unenforceable provision can be lawfully modified to reflect the parties' original intent, it shall be deemed modified accordingly to the minimum extent necessary to make it valid and enforceable.
